Negotiate in the contract. Not by email.

Your counterparty proposes changes online. You accept, reject or counter. No account for them to create, and every change tracked.

The problem

Email back-and-forth
drags out every negotiation.

01

Versions crossing paths

V2 from the client, V3 from legal, V3b from sales. Nobody can tell which version is authoritative anymore.

02

Changes buried in the text

The document comes back edited, with no track changes, or with changes nobody had announced.

03

Concessions nobody remembers

What was conceded to this client last year, and in exchange for what, gets lost in an inbox.

The solution

A single version,
negotiated online.

With Pactolane, you invite your counterparty to negotiate the contract online through a secure link: they propose their changes in track changes and add comments, without creating an account, and you accept, reject or counter each change. Each proposal shows its author and date, and the final document incorporates the accepted changes. Included from the Team plan.

An invitation with chosen permissions

You invite the counterparty by email and choose what they can do: edit, comment or propose changes. The secure link is valid for 30 days.

Redlining in the browser

Additions in green, deletions struck through in red, replacements, with the author and time of each change. The counterparty can withdraw or correct their own proposals.

FAQ

Common questions.

Q.01What is contract redlining?

Redlining is the practice of proposing changes directly in the text of a contract, making additions and deletions visible so that the other party sees exactly what is changing. In Pactolane, redlining happens online: every insertion, deletion or replacement shows its author and date, and each proposal can be accepted, rejected or met with a counterproposal.

Q.02Does my counterparty need to create a Pactolane account to negotiate?

Your counterparty does not need to create a Pactolane account to negotiate: they receive a secure link by email, valid for 30 days, and confirm their address with a one-time code before accessing the contract. They install nothing and download no files to work. When you send the invitation, you choose what they can do: edit, comment or propose changes.

Q.03How do I respond to changes proposed by the counterparty?

In Pactolane, you respond to each change proposed by the counterparty by accepting it, rejecting it or proposing different wording, directly in the online contract. Each proposal appears in the text and in the list of proposals, with its author and date: once accepted, it is incorporated into the contract; if rejected, it can carry a reason; a counterproposal goes back to the counterparty for review. You can also accept or reject everything at once. The counterparty is notified of every decision.

Q.04Can the counterparty see my internal discussions?

In Pactolane, your internal comments can be hidden from the counterparty: your team discusses strategy on the same document, without your partner reading those exchanges. Internally, all comments remain visible, along with the timeline of proposals and decisions. For work across your own teams, see our collaboration page.

Q.05Can the contract be downloaded during the negotiation?

A contract under negotiation in Pactolane can be downloaded as PDF or Word (DOCX), with or without the proposed changes. Once the negotiation is over, the final version incorporates all accepted changes and is exported as PDF with its full audit trail, then the contract continues its lifecycle through to signature.

Q.06How do I prepare my negotiating positions?

To prepare a negotiation in Pactolane, you analyze the counterparty's contract with your playbook, which places each clause between your preferred position and your red line. On the Growth and Scale plans, negotiation memory keeps the history of concessions made and obtained, and PactAI can extract these concessions from the contract text, so you start from facts rather than recollections.

Q.07Which plan includes online negotiation?

Pactolane's external negotiation is included from the Team plan (€149 per month excl. VAT, 7-day free trial). The Growth (€499 per month excl. VAT) and Scale (from €2,500 per month excl. VAT) plans add negotiation memory and PactAI. Full details are on our pricing page.
