Supplier proposal on Article 4

Current challenges

The real stakes
for procurement teams.

Contracts scattered among buyers, renewals that just happen, supplier commitments left unchecked. The contract sets the terms; they still have to be met.

01

Contracts scattered among buyers

Each buyer keeps their own contracts and versions. When they change roles, the history of the supplier relationship leaves with them.

02

Renewals that just happen

The contract renews because no notice was sent in time, and the planned renegotiation never takes place.

03

Supplier commitments left unchecked

Service levels, reports, certificates, audits: written into the contract, rarely tracked after signature.

How Pactolane helps

The supplier contract
at the heart of the relationship.

Pactolane lets procurement teams negotiate supplier contracts according to their policy, get them approved and signed, then track them through to renewal, along with each supplier's obligations. On the Growth and Scale plans, you link each framework agreement to its amendments and implementing contracts, and PactAI answers questions such as “What is the cumulative amount of the amendments against the framework agreement's cap?”.

Negotiate according to your policy

The supplier's contract is analyzed with your playbook: score out of 100, clauses detected or missing, position of each clause. The supplier proposes changes via a secure link.

FAQ

Common questions.

Q.01Which software should you use to manage supplier contracts?

Supplier contract management software covers the full contract cycle: drafting or analysis of the proposed contract, negotiation, internal approval, signature, then tracking of deadlines and obligations through to renewal. Pactolane, contract lifecycle management (CLM) software built for SMBs and mid-market companies, brings these steps together in one place, with a supplier directory and linked contract families. To go further, see our explainers on managing supplier contracts across the procurement cycle, which covers the supplier contract lifecycle, and on the criteria for choosing a CLM for a procurement team.

Q.02How do I analyze a contract proposed by a supplier?

In Pactolane, you import the supplier's contract (PDF or Word), specify your role in the contract and choose the playbook to apply, for example the subcontracting playbook provided with the platform. Pactolane detects the expected clauses, flags the missing ones, places each clause on your scale of positions (preferred, acceptable, fallback, red line) and calculates a score out of 100. You know where to negotiate before the first meeting.

Q.03Does the supplier need to use Pactolane to negotiate?

The supplier doesn't need a Pactolane account to negotiate. They receive an invitation with a secure link, valid for 30 days, and confirm their email address with a one-time code before accessing the contract. They then propose changes and comments within the permissions you have granted, and you accept or decline each proposed change. Learn more about negotiation and redlining.

Q.04How do I check the cap of a framework agreement and its amendments?

The cap of a framework agreement is found in the contract and in the amendments that have modified it. On Pactolane's Growth and Scale plans, you link each amendment to its framework agreement with its amount, the family is displayed in tree view, and PactAI answers when you ask it “What is the cumulative amount of the amendments against the framework agreement's cap?” or “What terms apply today after the amendments?”. Learn more about the contract repository and contract families.

Q.05How do I track supplier obligations and deadlines?

Each supplier obligation (service level report, certificate, audit, deliverable) is recorded in Pactolane, on the Growth and Scale plans, with its date, its status and the person responsible, and the overview can be filtered by supplier. Contract deadlines (notice, renewal, end) trigger reminders set per deadline, in the app and by email. Learn more about obligation tracking and deadline tracking.

Q.06Does Pactolane integrate with our tools?

Pactolane connects to your CRM (Salesforce, HubSpot, Pipedrive, Zoho CRM) and your cloud storage (Google Drive, OneDrive, Dropbox, Box) from the Growth plan, and to DocuSign, Yousign and Dropbox Sign for signature from the Team plan. The Scale plan opens the REST API, webhooks and the MCP server so that contracts and their data can flow to and from your other applications. See our integrations page.

Q.07Which plan should a procurement team choose?

For a procurement team, the Growth plan (€499 per month excl. VAT, 14-day free trial) is the right starting point: it adds deadline and obligation tracking, contract families and PactAI to the Team foundation. The Team plan (€149 per month excl. VAT) covers drafting, negotiation, workflows and signature, and the Scale plan (from €2,500 per month excl. VAT) adds API access, SSO and dedicated support. Full details are on our pricing page.
