A clause library, organized by category.Alternatives planned in advance.Inserted into your templates, chosen when the contract is created.
Cap expressed in months of billing, usual exclusions
Loss of revenue, loss of data, reputational damage
With the subcontractor's guarantee to the end client
To draft a confidentiality clause, you reuse the one from the last signed contract, along with specifics that have no business being there.
Each team has “its own” liability clause. Legal discovers the discrepancies when a dispute arises.
When the client rejects the standard clause, a variant is improvised in a rush, instead of being chosen from a prepared list.
A clause library is the collection of clauses a company reuses from one contract to the next. In Pactolane, it is connected to the template editor: each clause can be searched, organized by category, inserted into a template and can carry alternatives chosen when the contract is created.Included from the Team plan.
Search by clause name, filter by category, and a description excerpt to pick the right clause without opening it.
From the template editor, a button opens the library. The inserted clause keeps its name, can be edited in the template and holds its alternatives.
When the contract is created, each clause that has alternatives becomes a list: original version or alternative. The preview updates immediately.
Legal organizes its reference clauses by category, with a description that says when to use them.
Each inserted clause can receive alternatives: the acceptable variant when the client rejects the standard version.
When creating the contract, they choose the version from a list, without rewriting the clause. The choice can still be changed on the contract page.
Your reusable clauses, with a name, a category and a description that guides their use.
By name and by category in the library, and in the platform's global search alongside contracts and templates.
A button in the editor opens the library. The clause lands in the template, ready to be adjusted.
Several versions of the same clause, each with a title and content, offered at generation time.
Choosing an alternative updates the contract preview, both during creation and on the contract page.
A clause edited in the library is carried over to the templates that use it and to contracts not yet finalized. Template history remains available.
An online clause library is the collection, kept in software, of the clauses a company has approved and reuses from one contract to the next: confidentiality, liability, price, termination, intellectual property. It avoids starting over from an old contract and helps everyone use the same wording. In Pactolane, the clause library is connected to contract templates, so these clauses can be used at the very moment of creation.
In Pactolane, you open the library from the template editor, search for a clause by name or filter by category, then insert it into the template. The inserted clause keeps its name, can be adjusted in the template and can receive alternatives. Teams creating a contract from this template then simply choose the right version. Learn more about contract creation.
A clause alternative is a variant of a clause that Legal has prepared and accepted in advance, for example three levels of liability cap. In Pactolane, each clause in a template can carry several alternatives, each with a title and content. When the contract is created, the user chooses the original version or an alternative from a list, and the contract preview updates.
In Pactolane, the clause library is for drafting: it provides the clauses and their alternatives that you insert into your templates. The playbook is for analysis: it describes, for each type of clause, the preferred, acceptable, fallback and red-line positions, and scores an incoming contract against your policy. The two complement each other: your templates start from your reference clauses, and your partners' contracts are read through your playbook. Learn more about playbooks.
When a clause in the library is edited, Pactolane carries the new wording over to the templates that use it and to contracts not yet finalized. A finalized contract keeps its wording. This way, you roll out a corrected clause without reworking each template one by one, while leaving already finalized contracts untouched.
To build a clause library, start from the clauses your contracts already use and that your legal team has approved, then complete them by category. Pactolane also publishes a freely accessible clause library, with annotated sample wording for each clause, what the law says, common mistakes and negotiation points. These pages provide a starting point that your lawyer adapts to your business.
